1. Introduction

These Terms & Conditions (“Terms”, “Terms and Conditions” or “Agreement”) govern your access to and use of the NutriDiet Nidhi website, platform, programs, consultations, diet plans, fitness/wellness services and related services (“Services”).

By accessing the website, creating an account, purchasing a program, booking a consultation, submitting information, or otherwise using the Services, you acknowledge that you have read, understood and agreed to these Terms.

If you do not agree to these Terms, you must not use or purchase the Services.

NutriDiet Nidhi is an online nutrition, diet and wellness platform. Services may be delivered through dietitians, nutrition professionals, fitness professionals or other professionals engaged or associated with the platform.

2. Operator and Platform Responsibility

NutriDiet Nidhi is currently operated as an online platform from its head office at Khamgaon, Maharashtra, India.

The platform may engage or work with multiple dietitians, nutritionists, fitness professionals and other service providers.

Unless a separate written agreement expressly provides otherwise, each professional remains responsible for the professional advice, recommendations and services personally provided by that professional within the scope of their engagement.

The platform may facilitate communication, scheduling, payment, account management and delivery of Services, but does not represent that every professional appearing or working through the platform is an employee of NutriDiet Nidhi.

Where a separate written professional agreement exists, the allocation of responsibilities and liabilities contained in that agreement shall apply between the relevant parties.

The platform operator may be identified separately in applicable invoices, agreements or legal documents.

3. Nature of the Services

NutriDiet Nidhi may provide:

Personalized diet plans;
Nutrition and dietary consultations;
Follow-up consultations;
Weight management programs;
Weight gain programs;
Disease/condition-specific nutrition programs;
General wellbeing programs;
Fitness and wellness programs, including yoga and Zumba;
Educational nutrition and wellness content; and
Other diet, nutrition or wellness-related services introduced from time to time.

The specific Services included in a customer’s purchased program shall be those displayed on the relevant purchase page or otherwise communicated to the customer at the time of purchase.

4. Nutrition Services Are Supplementary to Medical Care

The Services provided through NutriDiet Nidhi are intended to provide supplementary nutritional, dietary and wellness support.

They are not intended to replace:

diagnosis by a qualified medical practitioner;
medical treatment;
medication prescribed by a doctor;
specialist medical care;
emergency medical care;
hospitalization;
laboratory or diagnostic evaluation; or
any other professional medical advice.

Customers should continue to consult and follow the advice of their treating doctor or other qualified healthcare professional.

Customers must not stop, modify, reduce or replace prescribed medication or medical treatment based solely on information received through NutriDiet Nidhi.

Where a customer’s medical condition requires medical supervision, the customer may be advised to consult an appropriate healthcare professional before or during participation in a program.

5. No Diagnosis or Guaranteed Treatment

Unless expressly stated otherwise by a suitably qualified professional within the scope of applicable law, NutriDiet Nidhi does not provide medical diagnosis or claim to cure, prevent or medically treat diseases.

Nutrition recommendations may support general health or complement medical management, but individual outcomes vary.

No statement made on the website, in advertisements, consultations, diet plans, educational materials or communications should be interpreted as a guarantee that a particular medical or physical outcome will occur.

6. No Guarantee of Results

NutriDiet Nidhi does not guarantee any particular result from any Service.

Results may vary depending upon numerous factors, including but not limited to:

individual physiology;
existing health conditions;
medications;
age;
adherence to recommendations;
lifestyle;
sleep;
exercise;
stress;
genetics;
changes in health status;
information supplied by the customer; and
factors outside the reasonable control of NutriDiet Nidhi.

No guarantee is made regarding weight loss, weight gain, blood glucose, cholesterol, blood pressure, kidney health, liver health, digestive health, fitness, body composition or any other health outcome.

Testimonials, examples or photographs appearing on the website represent individual experiences and must not be interpreted as guaranteed or typical results.

7. Customer’s Responsibility

The customer is responsible for providing accurate, complete and current information relevant to the Services.

This may include, where applicable:

age;
height and weight;
medical history;
existing conditions;
allergies;
medications;
supplements;
laboratory reports;
dietary restrictions;
pregnancy or breastfeeding status;
food preferences;
physical activity;
previous adverse reactions; and
any other information reasonably relevant to the provision of Services.

Failure to disclose relevant information may affect the suitability or safety of recommendations.

NutriDiet Nidhi shall not be responsible for consequences materially arising from inaccurate, incomplete, outdated or withheld information supplied by the customer.

Customers must promptly inform the relevant professional of any significant change in their health or circumstances.

8. Medical Emergencies

NutriDiet Nidhi is not an emergency medical service.

In the event of severe symptoms, an emergency, suspected serious medical complication or any situation requiring immediate medical attention, the customer must contact an appropriate emergency medical service or healthcare professional.

The customer must not delay necessary medical care while waiting for a response from NutriDiet Nidhi.

9. Minors

Persons below 18 years of age may use the Services only with the involvement and consent of their parent or lawful guardian.

Where required, the parent or lawful guardian must provide verifiable consent and accurate information on behalf of the minor.

The parent or lawful guardian accepts responsibility for supervising the minor’s participation and for ensuring that the minor receives appropriate medical care where necessary.

NutriDiet Nidhi may refuse, suspend or discontinue Services where required parental/guardian consent cannot be appropriately verified.

10. Programs and Duration

NutriDiet Nidhi may offer programs of different durations, including one-month, three-month and six-month programs.

The current program structure may include:

1 Month Program – ₹999

One initial 45-minute consultation;
Three 20-minute follow-up consultations.

3 Month Program – ₹2,800

One initial 45-minute consultation;
Eleven 20-minute follow-up consultations.

6 Month Program – ₹5,600

One initial 45-minute consultation;
Twenty-three 20-minute follow-up consultations.

The exact Services applicable to a customer’s purchase shall be determined by the program description displayed at the time of purchase.

Program validity expires at the end of the purchased program period unless NutriDiet Nidhi expressly agrees otherwise in writing.

Unused consultations do not automatically carry forward beyond the program validity period.

11. Appointments and Follow-Ups

Appointments may be conducted through an online meeting platform specified by NutriDiet Nidhi through email or other official communication.

Customers are responsible for:

attending appointments at the scheduled time;
having a suitable internet connection;
having the required device and software;
providing accurate contact information; and
ensuring an appropriate environment for the consultation.

12. Rescheduling

Customers may request rescheduling of an appointment by providing at least 3 days’ notice.

Rescheduling is subject to availability.

Where NutriDiet Nidhi or the assigned professional needs to reschedule an appointment, the appointment may be rescheduled to a suitable alternative time communicated by NutriDiet Nidhi, taking reasonable account of the customer’s availability.

NutriDiet Nidhi shall not be liable for losses arising solely from reasonable appointment rescheduling.

13. Missed Appointments and Cancellation by Customer

If a customer cancels, repeatedly misses, fails to attend or otherwise becomes unavailable for a scheduled consultation without complying with the applicable notice requirement, the relevant consultation may be treated as used.

If a customer repeatedly misses appointments, NutriDiet Nidhi may cancel remaining appointments and discontinue the relevant program without refund.

Any further consultation requested after such cancellation may require a new purchase or separate arrangement.

14. No Refund Policy

All purchases are non-refundable once completed.

By purchasing a program, the customer expressly acknowledges and accepts this policy.

No refund shall ordinarily be provided because of:

change of mind;
failure to attend appointments;
failure to follow the program;
inability to continue the program;
personal scheduling conflicts;
failure to achieve desired results;
dissatisfaction with expected results; or
failure to use all program inclusions within the program validity period.

Nothing in this clause is intended to exclude any right that cannot legally be excluded under applicable law.

15. Changes to Programs and Pricing

NutriDiet Nidhi may modify, add, suspend or discontinue Services, program structures, pricing, features or availability from time to time.

Changes will generally apply prospectively.

The specific Services purchased by a customer shall ordinarily remain governed by the terms displayed or communicated at the time of purchase, unless a change is required by law or circumstances outside NutriDiet Nidhi’s reasonable control.

16. Account Registration

Customers may be required to create an account.

Customers must provide accurate information and maintain the confidentiality of their login credentials.

Customers are responsible for activities performed through their account unless they can demonstrate unauthorized use that was not caused by their own negligence or failure to protect their credentials.

Customers must immediately notify NutriDiet Nidhi of suspected unauthorized access.

17. Account Suspension and Termination

NutriDiet Nidhi may suspend, restrict or terminate an account or access to Services where it reasonably suspects:

fraud;
misuse;
unauthorized access;
abusive or threatening conduct;
provision of materially false information;
payment fraud or improper chargebacks;
infringement of intellectual property;
attempts to compromise the platform;
violation of these Terms; or
conduct that may expose NutriDiet Nidhi, its professionals, customers or systems to legal, financial or security risk.

Where appropriate, NutriDiet Nidhi may investigate suspected misuse before taking final action.

18. Website Content

Website content is provided for general educational and informational purposes.

Although reasonable efforts may be made to maintain accurate information, NutriDiet Nidhi does not warrant that all content will always be complete, current, accurate, error-free or suitable for every individual.

Information should not be relied upon as individualized medical advice unless it is specifically provided as part of an appropriate professional consultation.

19. Third-Party Services and Platforms

NutriDiet Nidhi may use third-party services, including payment processors, hosting providers, communication platforms, appointment scheduling systems, analytics services, email providers and online meeting platforms.

Third-party services operate under their own terms and privacy policies.

NutriDiet Nidhi is not responsible for failures, outages, security incidents, policy changes or actions of third-party providers to the extent outside NutriDiet Nidhi’s reasonable control.

20. Intellectual Property

Unless otherwise stated, all website materials and content, including:

logos;
branding;
text;
graphics;
photographs;
videos;
diet-plan formats;
educational materials;
downloadable materials;
software/interface elements; and
other original content

belong to or are licensed to NutriDiet Nidhi and are protected by applicable intellectual-property laws.

Customers receive a limited, personal and non-transferable right to use purchased materials for their own personal purposes.

Customers must not, without prior written permission:

reproduce materials commercially;
resell diet plans;
distribute purchased plans to third parties;
publish private program materials online;
claim NutriDiet Nidhi’s materials as their own; or
use the materials to operate a competing commercial service.

21. Testimonials, Reviews and Photographs

Customers may voluntarily provide reviews, testimonials or feedback.

NutriDiet Nidhi may use such content for promotional purposes only in accordance with applicable consent requirements.

Before using identifiable before-and-after photographs, NutriDiet Nidhi will obtain appropriate consent.

Withdrawal of consent for future promotional use may be requested through the contact details provided in the Privacy Policy, subject to applicable law and legitimate retention requirements.

22. Recording of Consultations

Online consultations may be recorded where applicable.

Where recording is undertaken, appropriate notice and/or consent will be obtained as required by applicable law.

Recordings may be used for service delivery, quality assurance, training, dispute resolution, security or other stated purposes.

Customers should not record, reproduce or distribute consultations without the permission of the relevant participants and subject to applicable law.

23. Limitation of Liability

To the maximum extent permitted by applicable law, NutriDiet Nidhi, its platform operator, professionals, personnel, contractors and service providers shall not be liable for indirect, incidental, consequential, special, exemplary or punitive losses arising from or connected with use of the Services.

This includes, where legally permissible, losses relating to:

loss of anticipated results;
loss of income;
loss of opportunity;
loss of data;
business interruption;
technical failure;
third-party platform failure;
appointment delays;
reliance on general website content; or
outcomes arising from information inaccurately or incompletely supplied by the customer.

Nothing in these Terms shall exclude or restrict liability to the extent such exclusion or restriction is prohibited by applicable law.

24. Maximum Liability

To the maximum extent permitted by applicable law, the aggregate liability of NutriDiet Nidhi arising from a customer’s use of a paid Service shall not exceed the amount actually paid by that customer for the specific Service giving rise to the claim.

This limitation shall not apply where applicable law prohibits such limitation.

25. Indemnification

To the maximum extent permitted by law, the customer agrees to indemnify and hold harmless NutriDiet Nidhi, its platform operator, professionals, personnel and service providers from claims, losses, liabilities, damages, costs and reasonable expenses arising from:

breach of these Terms;
misuse of the Services;
unauthorized use of another person’s information;
materially false or incomplete information supplied by the customer;
violation of another person’s rights;
unauthorized copying or distribution of NutriDiet Nidhi materials; or
unlawful conduct by the customer.

26. Force Majeure

NutriDiet Nidhi shall not be liable for delay, interruption or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, governmental actions, internet outages, telecommunications failures, cyber incidents, platform outages, power failures, strikes, epidemics, pandemics or other force majeure events.

27. Privacy

Personal information is processed in accordance with the NutriDiet Nidhi Privacy Policy.

By using the Services, customers acknowledge that personal information may need to be processed to provide accounts, consultations, appointments, payments, communications and related Services.

28. Electronic Communications

By creating an account or purchasing a Service, customers consent to receiving service-related communications electronically, including emails, appointment notifications, account notifications, invoices, payment communications and important service updates.

Marketing communications will be handled in accordance with applicable consent requirements.

29. Dispute Resolution and Arbitration

Any dispute, controversy or claim arising out of or relating to these Terms or the Services shall first be raised with NutriDiet Nidhi in writing.

The parties shall make a good-faith effort to resolve the dispute amicably.

If the dispute cannot be resolved within a reasonable period, the dispute shall, subject to applicable law, be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 and amendments thereto.

The seat and venue of arbitration shall be Khamgaon, Maharashtra, India, unless otherwise agreed in writing.

The arbitration shall be conducted by a mutually agreed arbitrator in accordance with applicable law.

Nothing in this clause prevents a party from seeking urgent interim or statutory relief from a competent court where legally permissible.

30. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Subject to the arbitration clause and applicable law, courts having competent jurisdiction at or having territorial jurisdiction over Khamgaon, Maharashtra, India shall have jurisdiction.

31. Severability

If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force.

32. No Waiver

Failure by NutriDiet Nidhi to enforce any provision of these Terms shall not constitute a waiver of the right to enforce that provision later.

33. Entire Agreement

These Terms, together with the applicable Privacy Policy, purchase-page terms, program-specific terms and any written agreement expressly entered into with a customer or professional, constitute the applicable agreement concerning the Services.

Where a specific written agreement expressly conflicts with these Terms, the specific written agreement shall prevail to the extent of that conflict.

34. Amendments

NutriDiet Nidhi may update these Terms from time to time.

The updated version shall be published on the website with an updated effective date.

Continued use of the website after an updated version becomes effective constitutes acceptance to the extent permitted by applicable law.
